Terms of Service
The agreement between you and Ralli for using the platform. Version 1.0 · Governed by New Zealand law.
1. About these terms
These Terms are a legal agreement between you and Ralli (NZ Company #9450980). They apply whenever you use the Ralli website, apps or services (the “Platform”), whether you’re a donor, a creator, or just browsing. By using the Platform you agree to these Terms, together with our Privacy Policy, Refund & Cancellation Policy and Complaints Process, which form part of this agreement.
2. What Ralli is — and what it isn’t
Ralli is a technology platform and introducer. We provide the software that lets creators publish campaigns and lets donors give. We do not hold, control or move donor funds ourselves. All money is held and moved by a licensed payment partner, who is the regulated party for payments. Ralli is not a bank, not a money remitter, and not a trustee of your funds.
A donation is a gift toward a campaign — it is not paid to Ralli. Ralli’s only entitlement is its platform fee. We do not create, endorse, verify or guarantee campaigns, and we don’t promise that funds will be used as a creator describes. Behind the scenes, funds may be settled internally in a regulated stablecoin by the payment partner; donors and creators only ever deal in ordinary local currency and never need to touch cryptocurrency.
3. Eligibility & accounts
You must be old enough to enter a legally binding contract to create an account or run a campaign. You’re responsible for your account security and for keeping your information accurate. Donating generally doesn’t require an account — our $1 quick-donation can be made without an email, but a donation made without a verified email cannot later be cancelled or refunded (see the Refund Policy).
4. Donations
A donation is a voluntary gift toward a campaign. A Ralli receipt is a plain donation acknowledgement and is never a GST invoice. Donations are not tax-deductible unless the campaign is run by an IRD-approved donee organisation that can issue a donation-tax-credit receipt. Donations are generally final; you may be able to cancel quickly while funds are still held (refunds are net of non-refundable processing fees and require a verified email — see the Refund Policy). Optional rewards offered by a creator are a promise between you and that creator, not Ralli.
5. Fees
Ralli’s platform fee is 2% of funds raised. There are no sign-up, monthly or withdrawal fees charged by Ralli, and no fixed per-transaction fee — which is what keeps the $1 donation viable. The payment partner deducts Ralli’s 2% at the time of the transaction; Ralli never receives the gross donation. Payment-processing and currency-conversion costs are separate, come out of the campaign’s share, and are shown separately from Ralli’s fee.
6. Running a campaign (creators)
If you create a campaign, you also agree that:
- You are solely responsible for your campaign — its accuracy, honesty, and using funds for the stated purpose.
- You will comply with all laws that apply to you, including fundraising, consumer, tax and anti-fraud laws.
- You will complete identity verification (KYC) before withdrawing funds. This is done by our payment partner to meet anti-money-laundering law.
- You are responsible for your own tax, including income tax and, where relevant, GST. Offering rewards can bring GST into play — take your own advice.
- If you offer rewards, you must deliver them or refund the donor.
Full creator terms are set out in the Creator / Campaign Agreement.
7. United States — charity campaigns gated by state
In the United States, laws in many states (including California’s AB 488) regulate platforms that solicit donations for registered charities. Until Ralli is registered for charitable solicitation in a given US state, the charity/nonprofit campaign type is not available to raise from donors in that state. Personal-cause campaigns are unaffected, and this gating applies to the United States only — charity campaigns run normally in other countries.
8. Payouts
Payouts to creators are handled by the payment partner from funds it holds. A 48-hour hold applies before funds are released, for cancellations, fraud checks and integrity review. Payout may require completed KYC and may be staged for larger amounts. If a campaign’s funds are never withdrawn, we may refund donors after a reasonable period.
9. What you may not do
You must not use the Platform for anything unlawful, harmful or deceptive — including fraud, illegal goods, hate or violence, money laundering or sanctions evasion, infringing others’ rights, or trying to bypass fees, fraud controls, KYC or the US charity gate. We may remove campaigns, withhold payouts, and suspend or close accounts that breach this, and report unlawful activity to the authorities.
10. No guarantee — donor beware
Ralli does not guarantee campaigns. We are not responsible for whether a creator uses funds as described, delivers a reward, or tells the truth, and we don’t offer a monetary donor-protection guarantee. We provide safeguards — easy pre-payout cancellation, fraud auto-refunds, KYC at withdrawal, and an integrity-reporting process — but donating always carries risk. Please give to causes and people you trust.
11. Our liability & your rights
The Platform is provided “as is”. To the extent the law allows, Ralli is not liable for indirect or consequential loss, or for the acts of creators, donors or the payment partner. Nothing in these Terms limits your rights under the Consumer Guarantees Act 1993 or Fair Trading Act 1986 where they apply and cannot lawfully be excluded. Where our liability can be limited, it is limited to the fees Ralli received on the relevant transaction.
12. Privacy, complaints & governing law
How we handle your personal information is set out in our Privacy Policy. If something goes wrong, please use our Complaints Process first. These Terms are governed by New Zealand law, and you submit to the non-exclusive jurisdiction of the New Zealand courts — without affecting any mandatory consumer rights you have where you live.
13. Changes & contact
We may update these Terms as the Platform evolves; we’ll post the new version here and, for material changes, take reasonable steps to let you know. Questions: support@ralli.fund.
