Creator / Campaign Agreement
Additional terms for people who raise funds on Ralli. Version 1.0 · Governed by New Zealand law.
1. This agreement
This Creator / Campaign Agreement (“Agreement”) applies to anyone who creates or runs a campaign on Ralli (a “Creator”). It adds to— and should be read with — Ralli’s Terms of Service, Privacy Policy, Refund & Cancellation Policy and Complaints Process. If there’s any conflict on a Creator-specific point, this Agreement applies. By creating a campaign you accept it.
2. Your relationship with Ralli
- Ralli provides the platform that lets you publish a campaign and receive donations. Ralli is not your partner, agent, trustee or fundraiser, and does not hold your funds.
- Donations are gifts from donors toward your campaign. They are not paid to Ralli. A licensed payment partner holds the funds and pays them out to you.
- Ralli’s only charge is its 2% platform fee (percentage only, no fixed fee), deducted by the payment partner at transaction time. Payment-processing and currency costs are separate and come from the campaign’s share.
3. Your responsibilities
- Be truthful. Everything in your campaign — who you are, what you’re raising for, and how funds will be used — must be accurate and not misleading.
- Use funds for the stated purpose. You must apply the money you raise to the purpose described in your campaign. Materially changing the purpose without telling donors is a breach.
- Follow the law. Comply with all laws that apply to you and your cause, including fundraising, charity, consumer, privacy, tax and anti-fraud laws.
- Keep your details current and cooperate with any verification or review we or the payment partner reasonably request.
4. Identity verification (KYC) before withdrawal
KYC is required to get paid. Before any funds are released to you, you must complete identity verification. This is carried out by our licensed payment partner to meet anti-money-laundering law. If you don’t complete it, funds cannot be paid out and, after a reasonable period, may be refunded to donors (see the Refund Policy). Ralli does not store your identity documents — the partner does.
5. Payouts & holds
- Payouts come from the payment partner’s held funds, not from Ralli.
- A 48-hour hold applies before funds are released, for cancellations, fraud checks and integrity review. Larger amounts may be released in stages as part of our fraud controls.
- You choose a payout schedule where offered (for example weekly, fortnightly, monthly, or on request); timing also depends on the partner and your bank.
- We may pause or withhold a payout where we reasonably suspect fraud, a breach of this Agreement, a chargeback risk, or a legal issue, while we review.
6. Rewards & perks — and the GST warning
Rewards can change the tax picture. A pure donation is a gift and is not a sale. But if you offer a reward, perk or benefit in return for a donation, some or all of that donation may be treated as a payment for goods or services — which can bring GST and income tax into play for you, especially if you are (or become) GST-registered. Ralli does not and cannot give you tax advice. If you offer rewards, get your own advice on GST and income tax.
- Where you offer a reward, the promise to deliver it is between you and the donor. You must deliver it, or refund the donor if you can’t.
- Ralli is not the seller or counterparty to any reward and does not guarantee delivery.
7. Tax is your responsibility
- You are responsible for determining and paying any tax arising from what you raise — including income tax and, where applicable, GST.
- Ralli’s receipts to donors are either a plain donation acknowledgement or, only where you are an IRD-approved donee organisation, a donation-tax-credit receipt. A Ralli receipt is never a GST invoice, and Ralli will not represent that a donation is tax-deductible unless you are a qualifying donee organisation.
- If you are a registered charity or donee organisation, you must keep your registration and good standing current and tell us if that changes.
8. United States — charity campaigns gated by state
If you’re raising for a registered charity and want US donors: US state laws (including California’s AB 488) regulate platforms that solicit for charities. Until Ralli is registered for charitable solicitation in a given US state, charity/nonprofit campaigns cannot raise from donors in that state. Personal-cause campaigns are not affected, and this applies to the United States only.
9. Prohibited campaigns
You must not run a campaign that is unlawful, deceptive or harmful — see the prohibited list in our Acceptable Use Policy and Terms of Service (fraud, illegal goods, hate or violence, IP or privacy infringement, money laundering or sanctions evasion, or attempts to bypass fees, KYC or the US charity gate). We may remove such campaigns, withhold payouts, close accounts and report to authorities.
10. Refunds, cancellations & chargebacks
- Donors may cancel quickly while funds are held (one-click, net of fees) under the Refund Policy; those funds will not reach you.
- If a donor raises a chargeback with their bank, the amount may be reversed. Repeated or high chargeback rates on your campaign may lead to review, holds or removal.
- Where a campaign is removed for integrity reasons before payout, held donations are refunded to donors.
11. Your promises to Ralli (warranties & indemnity)
- You confirm you have the right to run your campaign and to post its content, and that it is truthful and lawful.
- You agree to indemnify Ralli against claims, losses and costs arising from your campaign, your breach of this Agreement or the law, or your use or misuse of funds — to the extent the law allows.
12. Content licence
You keep ownership of your campaign content and grant Ralli a worldwide, royalty-free licence to host, display, reproduce and promote it to operate and market the Platform and your campaign, as set out in the Terms of Service.
13. Suspension & ending your campaign
- You can close your campaign at any time; obligations already incurred (delivering rewards, using funds as stated, tax) continue.
- We may suspend or end a campaign that breaches this Agreement, the Terms, or the law, or that presents fraud or legal risk. Where we do, held funds are handled under the Refund Policy.
14. Unclaimed / stale funds
If you never complete KYC or withdrawal, your campaign’s funds may, after a reasonable period, be refunded to donors under the Refund Policy. Where donors can’t be refunded, Ralli may, at its discretion and consistent with New Zealand practice, redirect funds to an aligned charitable cause.
15. New Zealand law & disputes
This Agreement is governed by New Zealand law, and you submit to the non-exclusive jurisdiction of the New Zealand courts. Please use Ralli’s Complaints Process first if there’s a problem. Nothing here removes mandatory rights you have under the Consumer Guarantees Act 1993 or Fair Trading Act 1986 where they apply.
